What is a virtual data room?

A plain definition, what a data room does that file sharing does not, and when you actually need one.

A virtual data room is a controlled online space used to share confidential documents with people outside your organisation, where every document has explicit permissions and every action is recorded. In a transaction it is where a buyer, an investor or their advisers read the material that supports the deal.

What makes it different from file sharing?

A file sharing tool answers one question: can this person open this file. A data room answers six. Who may see that a document exists. Who may open it. Who may download it, and with whose name burned into the page. Who may see the questions other parties are asking. What was accessed, by whom, and when. And what happens to all of that at completion.

Those differences are not features for their own sake. They are the difference between a disclosure position you can prove and one you can only describe.

What is inside a data room?

  • A folder structure organised by discipline: corporate, financial, tax, commercial, people, intellectual property, property, legal, technology.
  • Party-based permissions, so competing bidders never see each other or each other's activity.
  • Dynamic watermarking, so a downloaded document carries the identity of whoever downloaded it.
  • A Q&A workflow, so questions are assigned, answered once, and recorded against the document they concern.
  • An exportable audit trail of every view and download, with timestamps.

Who uses one?

Sellers and their advisers on an M&A process. Founders raising a round, so investors can complete diligence without a hundred email attachments. Companies preparing for an exit long before a buyer exists. Lenders, funds reporting to investors, and any business handing sensitive material to a counterparty it does not control.

When do you need one instead of a shared drive?

The moment more than one outside party is reading, or the moment you would struggle to prove what was disclosed. Two bidders in one shared folder is a governance problem waiting to be discovered. A single buyer with a link that cannot be revoked, and no record of what was opened, is the same problem with fewer witnesses.

What does a data room cost in Australia?

It depends entirely on the pricing unit. Legacy providers charge per page, per user, or both, which makes the final invoice unknowable at signing. Linkro charges for capacity and a term in AUD, with unlimited users, and preparation is free with 10 GB while the room stays private. Convert every quote you receive into the same unit before you compare them.

What should you ask before you sign?

Ask where the data is stored, and separately where it is processed, because a provider can store in Sydney while its support desk or AI vendor sits offshore. Ask whether users are charged. Ask how overage is billed. Ask whether the audit trail exports. Ask which certifications the provider holds and on which public register you can verify them.

Frequently asked

What is a virtual data room in simple terms?
A virtual data room is a controlled online space for sharing confidential documents with people outside your organisation. Every document has explicit permissions, downloads can be watermarked with the reader's identity, and every view and download is recorded in an exportable audit trail.
What is a virtual data room used for?
Mostly transactions: M&A due diligence, exits, capital raises and fundraising rounds. It is also used for fund reporting, lending, and any situation where sensitive documents go to a counterparty you do not control.
Is a virtual data room the same as cloud storage?
No. Cloud storage controls whether a file can be opened. A data room controls who knows a document exists, who may download it, whose name appears on the page, what questions each party can see, and what evidence you hold afterwards.
Do I need a data room for a small deal?
If more than one outside party is reading, or if you would struggle to prove later what was disclosed and when, yes. Size of deal matters less than number of counterparties and the consequences of a disclosure dispute.
