Virtual data room pricing in 2026: per-page, per-seat, and the overage trap

Four pricing models, worked examples in AUD, and the clause that decides whether your invoice matches your quote.

There are four pricing models in this category, and the model matters far more than the rate. A cheap rate on an unpredictable unit produces the most expensive invoice.

The four models

Per page. You pay for every page loaded into the room. The sticker rate looks small, often between 50 cents and a dollar a page. Nobody knows the page count at signing, so nobody knows the price at signing.

Per user. You pay for each person invited, usually monthly. This directly discourages inviting the reviewers who should be reading, which is the opposite of what a clean process needs.

Per room or per project. A flat fee for a room, typically with a page or capacity cap, and an overage rate beyond it. Predictable until the cap.

Per capacity and term. You buy an amount of capacity for a period. Users are unlimited. This is what Linkro does, quoted in AUD excluding GST.

What per-page pricing costs when a deal runs long

Deals run three months longer than planned all the time. That is ordinary, not unlucky. Work it through on a mid-market process:

  • 20,000 pages at 85 cents a page: $17,000 before anyone asks a question.
  • A 15,000 page supplementary disclosure in month four at the same rate: $12,750.
  • 12 extra reviewers at $150 per user per month for three months: $5,400.

Quote approved: $17,000. Invoice: $35,150. Nothing went wrong. The deal simply took longer and disclosed more, which is what deals do.

The overage clause is the whole negotiation

Ask for the overage rate in writing, then multiply it out for three extra months and one supplementary disclosure. If the provider will not put the rate in writing, you have your answer.

Linkro handles a capacity overrun by moving you onto a new contract at standard rates. As of September 2026 we are not aware of another provider that does this rather than charging a punitive per-page or per-gigabyte rate. Based on our review of published terms, last checked September 2026.

How to compare quotes properly

  1. Convert every quote to a total for the deal, not a rate.
  2. Assume the deal runs three months longer than planned.
  3. Assume one supplementary disclosure of 50 per cent of the original volume.
  4. Add every reviewer you would want reading if the software were free.
  5. Add the overage on top of all of that.

Then, and only then, compare the numbers. Most shortlists reorder themselves at step five.

What Linkro charges

Preparation is free with 10 GB while the room stays private. The Small plan is free: 100 MB, six months, AI-only support. Pro starts at $270 per month on a 12-month term, with capacity discounts as volume rises. Enterprise is flexible from 10 GB. All figures AUD, excluding GST, unlimited users on every plan.

Frequently asked

How is virtual data room pricing structured?
Four models: per page, per user, per room or project with a cap, and per capacity and term. The model matters more than the rate, because per-page and per-user pricing makes the final invoice unknowable at signing.
What is the overage trap?
It is the gap between the quote and the invoice. A low headline rate with a punitive per-page or per-gigabyte overage rate means the price is set by how long the deal runs and how much you disclose, neither of which you know when you sign.
Does Linkro charge per user or per page?
Neither. Linkro charges for capacity and a term in AUD, with unlimited users on every plan. Preparation is free with 10 GB while the room stays private.
What happens if I exceed my capacity with Linkro?
You are moved onto a new contract at standard rates rather than billed at a punitive overage rate.
