Running Q&A in a data room without losing control of the process

Q&A is where processes are won and lost. Six rules that keep it under control.

Q&A is the part of a transaction that most often gets away from the seller. Documents are static. Questions arrive at speed, from multiple parties, and every answer is a representation.

Six rules

One owner. A single person routes every question and releases every answer. Without that, two advisers answer the same question differently and you have created an inconsistency in writing.

Answer in the room, never by email. An answer given by email is invisible to your audit trail and to whoever handles the same question next week.

Answer against the document. Attach the answer to the document the question concerns. Reviewers stop asking for material that is already there.

Isolate parties. Competing bidders must not see each other's questions, or infer them from response patterns. Party-based permissions handle this; a shared thread does not.

Batch releases. Release answers at set times rather than instantly. It keeps quality up and stops the seller's team being driven by whoever asks loudest.

Log everything, and export it. At completion, the Q&A record is part of your disclosure position. Export it with the audit trail.

Anything about litigation exposure, warranties, employee entitlements, or a contract's change of control position. Those answers become representations. Route them through counsel, and give yourself a service standard that allows for it: two business days is defensible, same day is not.

Where AI helps, and where it does not

AI is useful for drafting a first answer with the source document and page cited, and for spotting that three parties have asked the same question in different words. It is not useful for deciding what to disclose. That decision stays human, which is exactly what an AI management standard is meant to enforce.

Linkro's AI review features cite the document and page behind every answer, are opt-in, and run on Australian infrastructure. They are marked coming soon where they are coming soon.

Frequently asked

How should data room Q&A be structured?
One owner routing every question, answers given in the room rather than by email, attached to the document concerned, with competing parties isolated from each other and releases batched at set times.
Can bidders see each other's questions?
They should not. Party-based permissions keep each bidder's questions and activity invisible to the others, which is a requirement rather than a preference on a competitive process.
Which Q&A answers need legal review?
Anything touching litigation, warranties, employee entitlements or change of control. Those answers function as representations, so route them through counsel and set a two business day service standard.
Should Q&A be exported at completion?
Yes. The Q&A log and the audit trail together are the record of what you disclosed and when. Export both before access is closed down.
