How to choose a virtual data room

Data room selection usually gets decided on a demo and a discount. Here is how to decide it on the things that will actually matter in week nine of diligence.

Every provider will show you a clean interface and a permissions matrix. None of that is where deals go wrong. Deals go wrong on unpredictable invoices, misconfigured bidder access, and audit trails nobody can export when a warranty claim arrives two years later.

Compare the pricing unit before the price

There are three models in this market. Per page, which makes the final cost unknowable and quietly rewards disclosing less. Per user, which discourages inviting the specialist who should be reading. And per capacity and term, which prices the size of the document set rather than the effort of reviewing it.

You cannot compare a per-page quote with a capacity quote by looking at the headline numbers. Ask each provider for a total for a six-month process at your expected document volume, in writing, including likely overage.

The eight questions

  • What is the pricing unit, and what is the total for a six-month process at our volume?
  • Are users charged, and does that include the counterparty's advisers?
  • What does preparation cost before the room opens to outsiders?
  • How exactly is overage triggered and billed?
  • Where are the documents physically stored, and will you confirm it contractually?
  • Can we see a sample audit trail export?
  • Demonstrate how one bidder is prevented from seeing another bidder's activity.
  • If AI features are advertised, does every answer cite its source document and page?

Test the demo rather than watching it

Ask the salesperson to hand you the mouse. Create two parties, give them different access, and try to see one party's activity from the other. Upload a scanned PDF and search for a phrase inside it. Revoke a party and check what remains in the log.

Ten minutes of that tells you more than an hour of slides, and it reveals the one thing marketing never does: how much friction the platform adds to work you will repeat a thousand times.

Weigh hosting location properly if you are in Australia

Data sovereignty is raised in Australian deals by the buyer's lawyers, not by IT, and it arrives early. Onshore storage and an Australian contracting entity remove a cross-border transfer negotiation you do not want to run while a process is live.

Do not over-buy

Platforms built for cross-border large-cap transactions carry a workflow and a cost base to match. On a mid-market Australian deal that overhead buys capability the process will never use. Buy for the deal you are running.

Frequently asked

What is the most important factor when choosing a data room?
Cost predictability and disclosure control, in that order. A platform with a beautiful interface and a per-page invoice will change how much you disclose, and that is a deal risk, not a software preference.
Should I choose a local or global data room provider?
Choose local for Australian and mid-market processes where data sovereignty and AUD pricing matter. Choose global when the process spans jurisdictions and you need hosting or support presence overseas.
How many providers should I shortlist?
Three. Ask all three the same eight questions in writing, run the same hands-on demo test, and decide within a week so platform selection is not what delays the process.
