How AI changes due diligence
Diligence has always been constrained by how fast expensive people can read. That is the constraint AI actually removes, and it changes the shape of a deal timetable.
For twenty years, data rooms improved distribution. Documents arrived faster and more securely, and the review itself stayed exactly as it was: a small group of senior people reading thousands of pages against a committee date, hoping the one clause that matters is not buried on page 40 of a lease.
From reading everything to interrogating everything
The shift is from browsing a folder tree to querying a body of knowledge. Instead of opening every material contract to find change-of-control provisions, you ask the question once and get an answer across the set, with the sources attached.
That does not eliminate review. It reorders it. The reviewer starts with the answer and verifies the source, rather than starting with 200 files and hoping to arrive at the answer before the deadline.
What it genuinely improves
- Coverage. Every document gets looked at, not just the ones on the sample list.
- Consistency. The same question is applied identically across the whole set.
- Speed to first view. A summary of each document exists on upload rather than after a fortnight.
- Cross-document synthesis. Contradictions between a contract, a board minute and a financial note become visible.
- Q&A quality. Answers can be drafted from the disclosed material rather than from memory.
What it does not change
Judgement. Whether a customer concentration is fatal or manageable, whether a change-of-control consent will actually be granted, whether an earnout structure survives contact with reality: none of that is a retrieval problem, and pretending otherwise is how people get burned.
Nor does AI fix bad source material. A room full of unsigned contracts and unreconciled accounts produces confident summaries of unsigned contracts and unreconciled accounts.
Citations are the difference between usable and decorative
An AI answer without a source is unusable in diligence, because nobody can rely on it in a memo or a disclosure letter. The test to apply to any AI data room feature is simple: does every statement point back to a document and a page you can open?
That is why traceability, not model choice, is the architectural question. It also explains why bolting a chat box onto legacy file storage tends to disappoint: the storage was never built to know what it holds.
Governance is now part of the diligence conversation
Once AI touches confidential deal material, buyers' counsel will ask how it is governed: what the model does with the documents, whether outputs are logged, and how the provider manages AI risk. ISO/IEC 42001 certification exists for exactly this, and Linkro holds it alongside ISO 27001.
Where Linkro is up to
Linkro is built as an AI-native platform rather than storage with AI attached. The AI review capabilities are marked coming soon on this site because that is accurate, and the foundations they depend on, indexing, permission-aware retrieval and citation-grade traceability, are in place now.
Frequently asked
- Can AI replace legal due diligence?
- No. AI changes how documents are found, summarised and cross-referenced. Whether a risk is acceptable, and how it should be priced or papered, remains a judgement call for advisers and counsel.
- Is it safe to use AI on confidential deal documents?
- It depends on governance rather than on AI itself. Ask where processing happens, whether material is used for training, whether outputs are logged, and whether the provider holds ISO/IEC 42001 certification for AI management.
- What should I ask an AI data room vendor?
- Whether every answer cites its source document and page, whether the AI respects the room's permission model, and whether it can synthesise across the whole set rather than summarising one file at a time.
